Terms, conditions, and intellectual property provisions governing access to this website.
These Terms of Use (“Terms”) govern access to and use of the website operated by Altiora Advisory & Strategy LLP™ (“Altiora”, “we”, “us” or “our”). By accessing or using the website, you agree to be bound by these Terms. If you do not agree, you must not use the website. These Terms govern website use only and do not replace any signed engagement agreement, statement of work, non-disclosure agreement or other contract between Altiora and a client or other counterparty.
The website and its content are provided for general information about Altiora and its services. They do not constitute legal, tax, accounting, investment, audit, assurance, engineering or other professional advice, a recommendation, an offer or a commitment to provide services. Website content may not reflect the latest legal, regulatory, technical or market developments and may not be suitable for a particular organisation or situation. Users should obtain advice appropriate to their circumstances before acting on website content.
Accessing the website, submitting an enquiry or participating in an introductory discussion does not, by itself, create an adviser-client, fiduciary, partnership, agency, employment or other professional relationship. An advisory engagement is created only when the relevant parties enter into a written agreement signed by their authorised representatives.
Users may access and use the website for lawful informational and legitimate internal business purposes. Users must not:
All rights in the website and its content are owned by Altiora or its licensors. This includes brand assets, text, publications, diagrams, proprietary models, methodologies, diagnostic tools, templates, software elements and other materials. Subject to these Terms, Altiora grants users a limited, revocable, non-exclusive and non-transferable right to view the website and print reasonable extracts for their own lawful, non-commercial or internal business reference.
Users must not use Altiora’s name, logo, trademarks or proprietary models in a manner that suggests endorsement, affiliation or approval, or reproduce, adapt, distribute, license, white-label or commercially exploit those materials without Altiora’s prior written permission. All rights not expressly granted are reserved.
A user submitting information through the website confirms that they are entitled to provide it and that it is accurate to the best of their knowledge. Users must not submit confidential, classified, sensitive personal or third-party proprietary information through a general website form unless an approved secure process and appropriate confidentiality arrangements are in place. Altiora may use submitted information as reasonably necessary to respond to the enquiry, administer the website or handle the matter for which it was provided, subject to the Privacy Policy and applicable Indian law.
Altiora may update, suspend or discontinue any part of the website for operational, security, legal or business reasons. Altiora does not guarantee uninterrupted availability or that the website will be free from errors or harmful components. Links to third-party websites or services are provided for convenience. Altiora does not control or endorse those websites or services and is not responsible for their content, availability, security or privacy practices.
To the fullest extent permitted by applicable Indian law, the website and its content are provided on an “as is” and “as available” basis. Altiora makes no warranty or representation, express or implied, that the website or its content is accurate, complete, current, suitable for a particular purpose, uninterrupted, secure or free from errors. Nothing in these Terms excludes any warranty, right or remedy that cannot lawfully be excluded.
To the fullest extent permitted by the laws of India, the total and aggregate liability of Altiora arising out of or in connection with any advisory engagement, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution, indemnity or otherwise, shall not exceed the Engagement Value of the relevant engagement.
“Engagement Value” means the total professional fees paid or payable to Altiora under the particular signed engagement agreement and/or statement of work from which the claim arises, excluding GST and other applicable taxes, reimbursable expenses, third-party pass-through costs and amounts payable directly to third parties, unless the signed engagement agreement expressly provides otherwise. Where an engagement comprises multiple statements of work, the applicable Engagement Value shall be the fees paid or payable under the statement of work giving rise to the claim, unless the master agreement expressly provides for an aggregate programme value.
The liability cap is an aggregate cap for all claims arising from the same engagement and shall not be increased by the number of claims, claimants, legal bases or proceedings. To the extent permitted by Indian law, Altiora shall not be liable for indirect, remote, special, exemplary, punitive or consequential loss, or loss of profit, revenue, anticipated savings, business opportunity, goodwill or data.
Nothing in these Terms shall exclude or restrict liability to the extent such exclusion or restriction is prohibited by applicable Indian law, including liability arising from fraud or wilful misconduct where it cannot lawfully be limited, or any other liability that cannot legally be excluded or capped. The enforceability and application of the cap shall be subject to the Indian Contract Act, 1872 and other applicable Indian laws.
Where a website-use claim arises independently of a signed advisory engagement, and no Engagement Value exists, any limitation of liability shall apply only to the extent permitted by applicable Indian law and shall not be interpreted as excluding a non-excludable statutory right or remedy. The operative allocation of liability for advisory services must be included in the signed engagement agreement and shall prevail over these website Terms in the event of inconsistency.
To the extent permitted by applicable Indian law, users are responsible for losses and reasonable costs arising from their unlawful use of the website, material breach of these Terms or infringement of another person’s rights. Nothing in this clause makes a user responsible for loss caused by Altiora’s own breach or conduct to the extent such responsibility cannot lawfully be transferred.
Altiora’s processing of personal data in connection with the website is described in the Privacy Policy. Users should read the Privacy Policy together with these Terms.
These Terms and any non-contractual obligations arising from access to or use of the website shall be governed by the laws of India. Subject to applicable Indian law, the courts having competent jurisdiction at Thiruvananthapuram, Kerala, India, where Altiora’s registered office is situated or such other venue as is validly agreed in writing, shall have jurisdiction.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in effect. A failure or delay in exercising a right does not constitute a waiver of that right. Users may not transfer their rights under these Terms without Altiora’s prior written consent. Altiora may update these Terms by publishing a revised version on this page. Changes take effect on the stated effective date or, if no date is stated, when posted, subject to applicable Indian law.
Questions concerning these Terms may be sent to Lijo.joseph@altioraadvisor.com or by post to Kaudiar, Thiruvananthapuram, Kerala 695003, India. The current version of these Terms will be published on this page.
