To the fullest extent permitted by the laws of India, the total and aggregate liability of Altiora arising out of or in connection with any advisory engagement, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution, indemnity or otherwise, shall not exceed the Engagement Value of the relevant engagement.
“Engagement Value” means the total professional fees paid or payable to Altiora under the particular signed engagement agreement and/or statement of work from which the claim arises, excluding GST and other applicable taxes, reimbursable expenses, third-party pass-through costs and amounts payable directly to third parties, unless the signed engagement agreement expressly provides otherwise. Where an engagement comprises multiple statements of work, the applicable Engagement Value shall be the fees paid or payable under the statement of work giving rise to the claim, unless the master agreement expressly provides for an aggregate programme value.

Nothing in this Legal Notice or any engagement agreement shall exclude or restrict liability to the extent such exclusion or restriction is prohibited by applicable Indian law, including liability arising from fraud or wilful misconduct where it cannot lawfully be limited, or any other liability that cannot legally be excluded or capped. The enforceability and application of the cap shall be subject to the Indian Contract Act, 1872 and other applicable Indian laws. The signed engagement agreement shall contain the operative liability allocation and shall prevail over this general website notice in the event of inconsistency.
